Love this song! As the title and lyrics clearly show, this song indicates a countdown to midnight (New Year's Eve perhaps?).
I read somewhere previously that the whole album from which this song came is a description of a boy and girl having a date. (bathing to get ready, eating a seafood dinner, going to see a French film, etc etc).
What I love about this song particularly is the clever way that it embeds the countdown within the lyrics, particularly in the latter stages of the song:
