Sounds like a relationship that ended abruptly because Mr. Thornley found out his girlfriend's dirty little secret. In the chorus, "Keep your ears below the ground, Take a look around..." - I got the imagery of looking under the bed, where some like to hide things. It also seems through the verses that this girl feels no remorse but it actually proud of what she's done behind his back.

Knowing that Ian Thornley wrote most, if not all, of 'In Loving Memory of...' about a girl/bad breakup, my theory doesn't carry much weight. Nonetheless, my first read on this song was that it was about the relationship between band and record companies / management and a sort of tell off to the industry in general.

The first two verses deal with the signing -- Fully operational / Don't even have to sell, but transform into dissention internally and from the record company - Someone else's soul / Here to stay...outside and play.
