i didn't think of the happy phantom as actually being dead. i thought of it more as a relationship that didn't work out that she still wants to have. she knows "the time is getting closer, the time to be ghost" she has to disappear and fade away, cuz he's got someone new now and she's not in his life or his heart anymore. although the other way makes a lot of sense too.
