It seems to have been written like a conversation between a lovestruck man (blinded by love) and his friends (who know better; they know how the girl is). No nay will she deceive? I never understood that line. Was it supposed to be "no way will she deceive"?
George wasn't capable of writing anything worthwhile that would be acceptable by John or Paul at the time. This cover tune was "Beatle-ized" and turned into an nice little enjoyable rock n roll throw-away.

I believe the title is just "Devil In Her Heart", but I could be wrong. And, taking the song at face value, it's about a girl who's...devlish in her dealings of men.
