The popular thought is that the song recalls an affair between Carly Simon and Mick Jagger. I believe that Jagger confirmed this in a later interview. Carly Simon hasn't commented - but then, I'm not sure she would. She's rather reclusive when it comes to the media.

Had an awesome love, then lost her somehow. Now he is remembering the Motel, and the night they had.
To me, it's about a musician who has fallen in love with a woman he's met one time, but is unable to forget about her, even with the trips on the roads and the hotel parties after the concerts.
the live version with Dave Matthews is good too.
On that version Dave sings the "I hit the bottle and hit the sack and cried" part and it gives a new interpretation to the song. The way he sings the line it makes it seem like "hitting the sack" has nothing to do with sleeping but all to do with a bag of mary jane.\ just a thought., i dunno.
I think Keith's lines, with that great, broken, tortured voice of his makes the song.
A little trivia the Memory Motel is in Montauk on Long Island. It's near The Church Estate, which Andy Warhol bought in 1972.

it says; " The second songs that was written while we were there was, "Memory Motel." Keith took the title from Ronnie, when he heard him speaking to me "I love this place. It reminds me of the good times we have shared; it's a memory motel." So that is how that song came about."
