Hmm....I know 'The Dark Saga' is all about Spawn...and I'm no expert on Spawn, but I think I would be at least partially right if I guessed this was about when he sells his soul to the Devil and arises as his slave.
This song may be the part in the Spawn comics where he first falls unconcious and the suit takes control, becoming animal like and following Malbolja's orders.
At this point on the album, the devil considers his new servent (Spawn), he revels in the helplessness of his slave (Spawn), so thats all this song is about.
I guess it's the devil who talks to spawn who thought that he could break free and "refuse to be his slave"(Dark Saga).It's like the devil sais "Haha you think you can break free?For that i'll turn you into a mindless killermashine." So i guess that's why it's called The Last Laugh.
This song is about Malebolgia who is Spawn's master and who the demon he sold his soul to. Malebolgia is taunting and solidifying his control over Spawn.
